Director, Board & Institutional Affairs – EBRD

Role Overview
The Director, Board & Institutional Affairs provides expert support and guidance to the Secretary General and senior management in ensuring the development and delivery of the highest standards of corporate governance in the institutional decision-making processes that concern the Board of Directors and their Committees.

This includes:
Developing the strategic work programme for the Board of Directors and their Committees;
Advising and providing guidance on the respective responsibilities of the Board of Directors and management;
Ensuring good information flows between management and both Boards; and
Ensuring the requirements of the Bank’s Access to Information Policy are delivered.
The EBRD has 71 shareholders, all of whom are represented on both the Bank’s Board of Governors and the (resident) Board of Directors. The Agreement Establishing the Bank (AEB) provides a mandate for the Secretary General to act as the Secretary to both these Boards. The Office of the Secretary General therefore acts as liaison between the Governors, Directors and management. OSG’s mission is to ensure that the Bank takes decisions in full compliance with its corporate governance requirements, as set out in the Agreement Establishing the Bank and other Bank policies and procedures.
This role will be offered as a 4 year Fixed Term Contract

Accountabilities & Responsibilities
Ensure the highest standards of corporate governance are developed and delivered in relation to the institutional decision-making processes concerning the Board of Directors and their Committees.
Developing, in coordination with senior management, a strategic work programme over a medium and long-term time horizon for the Board of Directors and its Committees.
Oversight and management of the scheduling and delivery of Board meetings, Committee meetings, Information Sessions, Workshops, Retreats and Informal Briefings.
Advising and providing guidance on the respective responsibilities of the Board of Directors and management, exercising judgement on the appropriate interpretation of rules and procedures relating to the Bank’s governance.
Provide complex and proficient advice to the Chair of the Board Steering Group, and the members of the BSG, on issues requiring Board involvement, such as the structuring and scheduling of Board business and the handling and timing of very sensitive issues. Specifically in this regard, serve as a member of the Board Steering Group.
Advise the Chair of BSG on selection and appointments to Committee memberships including Chairs and Vice Chairs.
Oversight of the access to information on policy, ensuring institutional and operational activities across the Bank are provided in accordance with the requirements of the Bank’s Access to Information Policy.
Developing strong working relationships with the senior managers is the Corporate Secretariats of other IFIs
Directly accountable for the engagement and effective overall management of staff including recruitment, compensation (as agreed with the Head of Department, if applicable), performance management, coaching and development.
Champion and role model the Bank’s Behavioural Competencies and Corporate Behaviours, ensuring adherence within the team(s) so that the highest standards of integrity and ethical conduct are exhibited at all times
Ensure that information and documentation necessary to the decision-making process of the Board of Governors is (i) clearly communicated within time-critical timeframes to participants both in capitals and at Headquarters; and (ii) appropriately recorded and available on-line for all meetings of the Board of Governors and their Committees.
Advise on the selection and appointment of the Chair and Vice Chairs of the Board of Governors, including guidance and preparation for chairing the Annual Meeting.
Develop, lead and advise on Bank membership and shareholding issues.

Knowledge, Skills, Experience & Qualifications
An exceptionally strong grasp and focus on the strategic issues to be addressed by the Bank.
An extensive understanding of the Bank’s mandate, its shareholders, and the procedures governing how the Bank works. A strong level of commitment to the highest standards of governance.
A high capacity of skilled political acumen in order to discern the positions of Directors (and different sub-groups of Directors).
The ability to manage, design, negotiate, and deliver a framework of activities and priorities to be addressed over the medium- and long-term (including a work programme for the Board of Directors and its Committees).
Proven ability to negotiate with skill and diplomacy with senior management and Board members
Leadership abilities and competencies, in order to manage, mentor and guide a multicultural team of high-calibre professional staff.
Capacity to work constructively and diplomatically, maintaining relationship of tact, confidentiality and trust at the highest levels, in order to facilitate relations between the Bank’s management and its governance authorities.
Substantive working experience in international organisations, international relations and corporate governance.
Strong partnership and communication skills, with ability to motivate highly skilled teams to delivery business objectives effectively in a multi-cultural and results orientated organisation.
University degree and higher, ideally in Corporate Governance and / or International Relations.
