ABOUT THE ROLE
Tennis Wales is the Governing Body of tennis in Wales. Our vision is tennis opened up across Wales. We’re aiming to grow the game by making it relevant, accessible, welcoming & enjoyable across the country. We’ve published our strategy from 2020 – 2024 and are collaborating with the LTA, Sport Wales, and our partners and sponsors. Tennis Wales is looking to recruit a Company Secretary to support the Tennis Wales Board.
MAIN PURPOSE
The Company Secretary is responsible for the efficient administration of the company, particularly with regard to ensuring compliance with statutory and regulatory requirements and for ensuring that decisions of the board of directors are documented and implemented.
This is a non-salaried position. Travel and other reasonable out-of-pocket expenses will be reimbursed for attendance at official meetings and events on behalf of Tennis Wales. The Tennis Wales Board meets five times a year across Wales.
RESPONSIBILITIES
1. To be responsible for advising the Tennis Wales Ltd Board on all governance matters relating to the organisation, advising directors of their duties and complying with corporate legislation.
2. To maintain the company’s statutory books including a register of current & past directors and secretaries, register of shareholders in the organisation and register any charges on assets.
3. To work with Tennis Wales Ltd staff to take minutes of general meetings and Board meetings with excellence in line with policies & procedures in a timely & efficient manner.
4. To file annual returns to Companies House, including directors, auditors and financial reports, including details of company assets & liabilities.
5. To arrange meetings of the directors and the shareholders. This responsibility will involve the issue of proper notices of meetings, preparation of agenda, circulation of relevant papers and taking and producing minutes to record the business transacted at the meetings and the decisions taken.
6. Establishing and maintaining the company’s registered office as the address for any formal communications.
7. Ensuring that all the company’s business stationery carries its name, registered number, country of registration and registered address. These details must also appear on the company website, emails, order forms and invoices.
8. Ensuring the security of the company’s legal documents, including for example, the certificate of incorporation and memorandum and articles of association.
QUALIFICATIONS AND EXPERIENCE REQUIRED
Experience working at a senior level within an organisation, working at Board level or similar to make strategic decisions. (Essential)
Professional qualifications or experience that will benefit the Board. (Essential)
Excellent communication skills, working with Board members, stakeholders, funding partners and colleagues in the organisation. (Essential)
An understanding of the legal duties, responsibilities and liabilities of being a company secretary. (Essential)
